7.2 Liability Cap. IN NO EVENT SHALL COMPANY'S TOTAL LIABILITY EXCEED THE AMOUNT PAID FOR THE PRODUCT GIVING RISE TO THE CLAIM.

8. Indemnification and Defense

You agree to indemnify, defend, and hold harmless Company and its owners, members, managers, officers, employees, contractors, affiliates, and representatives from and against any and all claims, demands, actions, liabilities, damages, losses, penalties, fines, costs, and expenses (including attorneys' fees) arising out of or relating to:

  • your breach of this Disclaimer or any related terms.

8.2 Immediate Duty to Defend. Your duty to defend shall arise immediately upon notice of any claim and shall be independent of any determination of liability.

8.3 Control of Defense. Company reserves the right to control the defense and settlement of any claim. You shall not settle any claim affecting Company without prior written consent.

8.4 Broad Construction. This indemnity shall be construed as broadly as permitted under applicable law.

9. Third-Party and Unauthorized Statements

9.1 Company does not authorize any third party, agent, affiliate, influencer, or representative to make statements regarding the Products beyond those expressly provided by Company.

9.2 Any such statements:

  • are not attributable to Company; and
  • shall not create any liability or obligation on the part of Company.

10. Right to Refuse or Cancel Transactions

Company reserves the right, in its sole discretion, to refuse, cancel, or limit any order or transaction where misuse, regulatory risk, or non-compliance is suspected.

11. Relationship to Terms of Use

This Disclaimer is intended to supplement and operate in conjunction with the Company's Terms of Use. In the event of any conflict, the Terms of Use shall control.
